Terms and Conditions

1. INTRODUCTION AND ACCEPTANCE
These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("you", "your", "User") and Rali Pte. Ltd. (UEN: 202544390D, "we", "us", "our", "Rali", "Company"), a company incorporated in Singapore in 2025, governing your access to and use of the Rali application, website, and all related services (collectively, the "Application", "Services", or "Platform").
BY ACCESSING, DOWNLOADING, INSTALLING, OR USING THE APPLICATION, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF THE APPLICATION AND UNINSTALL IT FROM YOUR DEVICES.
These Terms incorporate by reference our Privacy Policy, Community Guidelines, and any other policies posted on the Platform. By accepting these Terms, you also accept all incorporated policies.
2. ELIGIBILITY AND ACCOUNT REQUIREMENTS
2.1 Age Requirement
You must be at least 18 years of age to create an account and use the Services. By creating an account, you represent and warrant that:
- You are at least 18 years old
- You have the legal capacity to enter into binding contracts
- You are not prohibited from using the Services under applicable laws
- All information you provide is accurate, current, and complete
2.2 Account Registration and Security
To access certain features, you must create an account. You agree to:
- Provide accurate, truthful, and complete registration information
- Maintain and promptly update your account information
- Maintain the confidentiality of your account credentials
- Not share your account with any third party
- Immediately notify us of any unauthorized access or security breach
- Accept responsibility for all activities under your account
- Use only one account (multiple accounts may be terminated)
2.3 Account Verification
We reserve the right to verify your identity, age, and eligibility at any time. You may be required to provide government-issued identification, proof of address, or other documentation. Failure to provide requested verification may result in account suspension or termination.
3. LICENSE AND RESTRICTIONS
3.1 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Application for your personal, non-commercial use.
3.2 Prohibited Uses
You agree NOT to:
- Use the Services for any illegal, fraudulent, or unauthorized purpose
- Violate any applicable local, national, or international laws or regulations
- Infringe upon the intellectual property rights of Rali or any third party
- Impersonate any person or entity, or falsely represent your affiliation
- Harass, threaten, intimidate, or harm other users
- Post or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, obscene, hateful, or racially or ethnically offensive
- Engage in any form of spam, unsolicited advertising, or commercial solicitation
- Attempt to gain unauthorized access to the Platform, other user accounts, or computer systems
- Interfere with or disrupt the Services or servers or networks connected to the Services
- Use any automated means (bots, scrapers, crawlers) to access or collect data from the Services
- Reverse engineer, decompile, disassemble, or attempt to derive source code from the Application
- Remove, circumvent, disable, damage, or interfere with security features of the Application
- Upload viruses, malware, or any malicious code
- Manipulate ratings, rankings, or match results
- Create fake accounts or engage in fraudulent activity
- Sell, rent, lease, or sublicense your account or access to the Services
- Use the Services to compete with Rali or develop a competing product
4. USER CONTENT AND CONDUCT
4.1 User-Generated Content
The Application allows you to post, upload, and share content including profile information, photos, comments, messages, and match results ("User Content"). You retain ownership of your User Content, but you grant us the following rights:
4.2 License to User Content
By posting User Content, you grant Rali a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable license to:
- Use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display your User Content
- Incorporate your User Content into other works in any format or medium
- Use your name, likeness, and display name in connection with your User Content
- Use your User Content for marketing, promotional, and advertising purposes
- Train and improve our artificial intelligence and machine learning models using your User Content
- Share your User Content with third-party service providers and partners
This license survives termination of your account and continues even after you delete your User Content, as we may retain copies in backups and archives.
4.3 Responsibility for User Content
You are solely responsible for your User Content. You represent and warrant that:
- You own or have all necessary rights to the User Content you post
- Your User Content does not violate any third-party rights (copyright, trademark, privacy, publicity, etc.)
- Your User Content complies with these Terms and applicable laws
- Your User Content is accurate and not misleading
4.4 Content Moderation
We reserve the right, but have no obligation, to:
- Monitor, review, edit, or remove any User Content at our sole discretion
- Use automated systems and AI to detect and remove prohibited content
- Investigate violations of these Terms
- Take appropriate action against violating users, including warnings, suspensions, or permanent bans
We do not pre-screen User Content and are not responsible for content posted by users. However, we may remove content that violates these Terms or is otherwise objectionable.
4.5 Public Nature of Content
You understand that User Content you post may be visible to other users and the public. Once posted, you may not be able to completely remove or delete your content, especially sports participation records which are retained permanently.
5. SPORTS PARTICIPATION AND PHYSICAL ACTIVITY
5.1 Assumption of Risk
YOU ACKNOWLEDGE AND AGREE THAT SPORTS ACTIVITIES INVOLVE INHERENT RISKS OF PHYSICAL INJURY, INCLUDING BUT NOT LIMITED TO SPRAINS, STRAINS, FRACTURES, CONCUSSIONS, PERMANENT DISABILITY, AND DEATH. BY USING THE APPLICATION TO PARTICIPATE IN SPORTS ACTIVITIES, YOU VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH SUCH PARTICIPATION.
5.2 Health and Fitness
You represent and warrant that:
- You are in good physical health and have no medical conditions that would prevent safe participation in sports activities
- You have consulted with a physician before participating in strenuous physical activity
- You will immediately discontinue participation if you experience pain, discomfort, or any adverse symptoms
- You are responsible for your own health, safety, and well-being during sports activities
5.3 No Medical Advice
The Application does not provide medical advice. Any health, fitness, or nutrition information provided is for informational purposes only and should not be relied upon as medical advice. Always consult a qualified healthcare professional before beginning any exercise program.
5.4 Third-Party Facilities and Events
We do not own, operate, or control sports facilities, venues, or events organized through the Application. We are not responsible for the safety, condition, or management of such facilities or events. You participate at your own risk.
6. LOCATION, POSTAL CODES, AND MAP DATA
6.1 Location Information We Collect and Store
The Application may allow you to provide, save, or select location-related information—including Singapore postal codes, labels such as home, work, or saved court locations, coordinates, and address or building text—to power search, matching, proximity features, invites, and related functionality. Such information may be stored on our servers and associated with your account as described in our Privacy Policy.
Location and address details may be derived from your input and/or from third-party geocoding, mapping, or open-data services (for example government or commercial map APIs). Display of map-related content does not imply any affiliation with or endorsement by those providers.
6.2 Your Responsibility and Real-World Meetups
You are solely responsible for the accuracy of location information you enter or choose to save or share. Proximity, distance, "nearby" results, routing, and any map or address displays are provided for convenience only and are not a substitute for independently verifying a real-world address, access, or safety before you travel or meet others.
Any in-person meetings, travel, or activities arranged using location features or information shown in the Application are at your own risk. For the avoidance of doubt, the limitations in Section 5.4 (Third-Party Facilities and Events) apply equally where you rely on location or venue information supplied by users or third-party data sources.
6.3 No Warranty as to Geodata
To the maximum extent permitted by law, we do not warrant that any location, geocoding, postal, proximity, boundary, or map-related information in the Services is accurate, complete, current, or fit for any particular purpose. Such information may be wrong, incomplete, outdated, or unavailable without notice.
6.4 Third-Party Data and Licences
Geodata may be subject to third-party terms, licences, and attribution requirements (including, where applicable, open-data licences such as the Singapore Open Data Licence). Rali does not grant you any rights in third-party datasets or map content beyond what is necessary to use the Application as we provide it. We do not guarantee continued availability or accuracy of any third-party source.
7. CHAT AND MESSAGING
7.1 Nature of Messaging and User Content
In-application chat, direct messages, and similar communication features allow you to send text and other content to other users. All such content constitutes "User Content" under Section 4 of these Terms and is subject to the licences, representations, and moderation provisions set out there.
We may store, process, scan, moderate, retain, or disclose messages as described in our Privacy Policy and as needed to operate the Services, protect safety, comply with law, enforce these Terms, or resolve disputes.
7.2 No Guarantee of Delivery, Privacy, or Retention
The Services are provided on an "as is" and "as available" basis. We do not guarantee that messages will be delivered, read, displayed in order, free of delay or loss, or retained for any particular period. You should not treat in-app messaging as a secure or confidential channel; we and our service providers may access message content in accordance with our Privacy Policy and applicable law.
7.3 Disputes Between Users
You are solely responsible for the content of messages you send and for your interactions with other users. Rali is not a party to disputes between users arising from chat, arrangements made through messaging, or meetings coordinated via the Application, except where we choose to intervene for policy or legal reasons.
7.4 Prohibited Conduct
Without limiting Sections 3.2 (Prohibited Uses) and 4 (User Content and Conduct), you must not use messaging to harass, threaten, impersonate, defraud, or abuse others, or to transmit unlawful, harmful, or unsolicited content. We may take action including warnings, suspension, or termination for violations.
7.5 Monitoring
We have no obligation to monitor messages. We may, however, use automated or manual means to review content where permitted by law, consistent with Section 4.4 (Content Moderation). Concerns about other users or content should be reported via support channels identified in these Terms or the Application.
8. PAYMENTS, SUBSCRIPTIONS, AND REFUNDS
8.1 Pricing and Fees
Certain features of the Application may require payment of fees. All fees are:
- Stated in Singapore Dollars (SGD) unless otherwise specified
- Exclusive of applicable taxes, which will be added at checkout
- Non-refundable except as expressly stated in these Terms or required by law
Price Changes
We reserve the right to modify our pricing at any time. Price changes will be handled as follows:
- For New Subscribers: New subscription prices are effective immediately upon posting and apply to all new subscriptions purchased after the change
- For Existing Subscribers: If we increase the price of your subscription plan, we will provide you with at least 30 days' advance notice before the new price takes effect at your next renewal
- Limited-Time Offers: Promotional pricing (such as "Founder's Pass," "Pioneer Pass," or similar tier-based pricing) is subject to availability and may be discontinued at any time without notice. Once a promotional tier is sold out or discontinued, only current market pricing will be available
By continuing your subscription after receiving notice of a price change, you accept the new pricing. If you do not agree to the new price, you may cancel your subscription before the new price takes effect.
8.2 Subscriptions
Subscription fees are charged in advance on a recurring basis (monthly, annually, or for extended periods). By subscribing, you authorize us to charge your payment method:
- Automatically at the start of each billing cycle
- For any applicable taxes
- For any additional services or features you purchase
Subscriptions automatically renew unless you cancel before the renewal date. You can cancel anytime through your account settings.
Lifetime Subscription (Extended Duration Plan)
Our "Lifetime" subscription (also referred to as "Infinity Key" or similar marketing terms) is structured as a 99-year recurring subscription. You acknowledge and agree that:
- You will be charged once at the time of purchase
- The subscription will renew automatically after 99 years at the then-current rate, unless cancelled
- This is a recurring subscription under the payment processor's (Stripe) terms, not a one-time purchase
- Despite the marketing term "Lifetime," the technical billing period is 99 years
- All terms regarding cancellation, refunds, service discontinuation, and non-transferability apply equally to this extended duration subscription
- Access is contingent on the Application remaining operational (see Section 8.4)
- In the unlikely event you remain a user after 99 years, you may be charged the then-current subscription rate
By purchasing a "Lifetime" subscription, you acknowledge that you understand and agree to these terms, and that the use of "Lifetime" is a marketing term for a 99-year subscription period.
8.3 Refund Policy
All fees are non-refundable. By making a purchase, you acknowledge and agree that all sales are final and no refunds will be provided for any subscription or payment made through the Application.
8.4 Service Discontinuation
In the event that Rali Pte. Ltd. discontinues the Application or ceases operations for any reason, all subscriptions (including monthly, annual, and lifetime subscriptions) will be terminated without refund.
You acknowledge and agree that:
- Your subscription (including lifetime subscriptions) grants access to the Application only for as long as the Application remains operational
- Rali Pte. Ltd. is not obligated to provide refunds, credits, or compensation of any kind if the Application is discontinued
- This includes but is not limited to lifetime subscriptions, which are subject to the same discontinuation terms as all other subscription types
- We will make reasonable efforts to provide advance notice of any planned service discontinuation, but are not legally obligated to do so
- Your purchase of any subscription constitutes acceptance of these terms
8.5 Payment Processing
Payments are processed by third-party payment processors (e.g., Stripe, PayPal). You agree to their terms and conditions. We do not store your complete payment card information.
8.6 Non-Transferability
Your account and subscription are personal to you and are non-transferable.
You may not:
- Transfer, assign, sell, or give your account or subscription to another person
- Share your account credentials with others
- Allow others to access the Application using your account
- Transfer your lifetime subscription to another user or account
Any attempt to transfer your account or subscription will result in immediate termination without refund. All subscription types (including monthly, annual, and lifetime subscriptions) are tied to the original purchaser and cannot be reassigned.
9. INTELLECTUAL PROPERTY RIGHTS
9.1 Ownership
The Application, including all content, features, functionality, software, code, designs, graphics, logos, trademarks, and service marks (collectively, "Rali Content"), is owned by Rali Pte. Ltd. and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
9.2 Trademarks
"Rali", the Rali logo, and other Rali trademarks, service marks, graphics, and logos are trademarks of Rali Pte. Ltd. You may not use our trademarks without our prior written permission.
9.3 Copyright Infringement
We respect intellectual property rights. If you believe your copyright has been infringed, contact us at:

10. DISCLAIMERS AND WARRANTIES
10.1 "AS IS" and "AS AVAILABLE"
THE APPLICATION AND ALL CONTENT, FEATURES, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND FREEDOM FROM COMPUTER VIRUS OR OTHER HARMFUL CODE.
10.2 No Warranty of Accuracy
We do not warrant that:
- The Application will be uninterrupted, timely, secure, or error-free
- The results obtained from use of the Application will be accurate or reliable
- The quality of any products, services, information, or other material obtained through the Application will meet your expectations
- Any errors in the Application will be corrected
- User-generated content is accurate, reliable, or trustworthy
- Other users' profiles, ratings, or information are accurate
- Location, postal, geocoding, proximity, map, or address information is accurate, complete, or current
- Chat or messaging features will deliver, retain, or display messages reliably or in a particular order
10.3 Third-Party Content
We are not responsible for any third-party content, websites, products, or services accessed through the Application. Your use of third-party services is at your own risk.
10.4 Location, Geocoding, Maps, and Messaging
Without limiting the foregoing, we make no representation or warranty regarding the accuracy, completeness, timeliness, or availability of any location, postal, geocoding, proximity, map, routing, or address information, or of any third-party geodata or APIs used to provide such features. Chat, messaging, and related communication features are also provided without warranties of any kind, including as to delivery, confidentiality, or fitness for any particular communication purpose.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RALI PTE. LTD., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS (COLLECTIVELY, "RALI PARTIES") BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
- PERSONAL INJURY, PROPERTY DAMAGE, OR DEATH arising from your use of or participation in sports activities facilitated through the Application
- DAMAGES ARISING FROM: (a) your use or inability to use the Services; (b) unauthorized access to or alteration of your data; (c) statements or conduct of any third party; (d) any other matter relating to the Services
- LOCATION AND GEOCODING: reliance on or use of location, postal, map, proximity, routing, or address information (including errors, omissions, or unavailability of third-party geodata or APIs)
- MEETUPS AND TRAVEL: in-person meetings, travel, or events arranged using the Services, incorrect or misleading location or venue information supplied by users or third parties, or disputes arising from such arrangements
- MESSAGING: the content, transmission, non-delivery, delayed delivery, or retention of chat or messages, or disputes between users related to messaging
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT RALI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL THE TOTAL LIABILITY OF RALI PARTIES TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO RALI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR SGD $100, WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers, exclusions, or limitations may not apply, and you may have additional rights.
12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Rali Parties from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and court costs) arising from or relating to:
- Your use or misuse of the Application
- Your violation of these Terms
- Your violation of any rights of another person or entity
- Your User Content
- Your participation in sports activities facilitated through the Application
- Any injury, death, or property damage caused by you
- Your breach of any representation or warranty in these Terms
- Location, postal, or address information you provide, save, share, or rely on, or claims arising from proximity, mapping, or geocoding features
- Your messages, chat conduct, or communications sent through the Services, and claims by third parties related to such content or conduct
- Meetings, travel, or interactions you arrange with other users using location, messaging, or other features of the Application
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.
13. TERMINATION
13.1 Termination by You
You may terminate your account at any time by contacting us at support@rali.life or through account settings. Termination does not entitle you to a refund of any fees paid.
13.2 Termination by Us
We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to:
- Violation of these Terms
- Fraudulent, abusive, or illegal activity
- Prolonged inactivity
- Requests by law enforcement or government agencies
- Technical or security issues
- Discontinuation of the Services
13.3 Effect of Termination
Upon termination:
- Your right to use the Application immediately ceases
- Your account and access will be disabled
- We may delete your personal identifiable information (subject to legal retention requirements)
- Your sports participation records will be retained permanently as described in our Privacy Policy
- Sections of these Terms that by their nature should survive termination will survive (including indemnification, limitation of liability, dispute resolution)
14. DISPUTE RESOLUTION AND ARBITRATION
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.
14.2 Dispute Resolution Process
Before initiating arbitration or litigation, you agree to first contact us at legal@rali.life to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.
14.3 Arbitration Agreement
If informal resolution fails, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of SIAC.
Arbitration Terms:
- The arbitration shall be conducted in English
- The seat of arbitration shall be Singapore
- There shall be one arbitrator appointed in accordance with SIAC rules
- The arbitrator's decision shall be final and binding
- Each party shall bear its own costs unless the arbitrator decides otherwise
14.4 Class Action Waiver
YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND RALI INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION.
14.5 Exceptions to Arbitration
Either party may seek injunctive or other equitable relief in the courts of Singapore for matters related to intellectual property rights or confidential information.
14.6 Jurisdiction
You irrevocably submit to the exclusive jurisdiction of the courts of Singapore for any matter not subject to arbitration.
15. MODIFICATIONS TO TERMS AND SERVICES
15.1 Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms with a new "Last updated" date
- Sending an email notification to your registered email address
- Displaying a prominent notice in the Application
Your continued use of the Application after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must stop using the Application and terminate your account.
15.2 Changes to Services
We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice, and without liability to you. We may also impose limits on certain features or restrict access to parts or all of the Services.
16. GENERAL PROVISIONS
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Rali regarding the Services and supersede all prior agreements, representations, and understandings.
16.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
16.3 Waiver
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
16.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section shall be null and void.
16.5 Force Majeure
We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
16.6 Relationship of Parties
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Rali. You are an independent user of the Services.
16.7 Third-Party Beneficiaries
These Terms are for the benefit of Rali and you only, and are not intended to confer third-party beneficiary rights upon any other person or entity.
16.8 Language
These Terms are drafted in English. Any translation is provided for convenience only. In case of conflict between the English version and any translation, the English version shall prevail.
17. DINK PLATFORM MIGRATION
If you previously used the Dink application ("Dink"), a sports community platform, your account and data have been migrated to Rali. By accepting these Terms, you acknowledge and agree:
- Your Dink account has been transitioned to a Rali account
- Your Dink user profile, sports history, match records, ratings, community memberships, and related data have been transferred to Rali
- Rali Pte. Ltd. is now the data controller for all migrated data
- These Terms supersede and replace any prior terms you accepted with Dink
- Your continued use of Rali constitutes acceptance of this migration and these Terms
- The permanent retention policies in these Terms apply to your historical Dink data
- You may contact support@rali.life with questions about the migration

19. ACKNOWLEDGMENT AND ACCEPTANCE
